(the \u201cCompany\u201d or \u201cMagnum\u201d) announced that it had entered into debt settlement agreements (the \u201cAgreements\u201d) to settle obligations (the \u201cSettlements\u201d) owed to certain non-arm\u2019s length and arm\u2019s length creditors, in the aggregate amount of $275,225.27, through the issuance of an aggregate of 4,587,088 common shares of the Company at a deemed value of $0.06 per share. The Company received TSX Venture Exchange (the \u201cExchange\u201d) acceptance of the Settlement by letter dated April 16, 2020 and the subject shares were issued by the Company on April 23, 2020 (at a deemed price of $0.06 per share).
